RAM would definitely be an issue. Like jumbodog said it might run "ok" on medium settings, but don't expect such a system (components nearly 2.5 years old) to run smooth.

The specs that TheRealArkayn listed for the second computer will be perfect for WoW, picking up the black edition over the standard retail, you might even get away with high settings too. I am running on a Phenom II X3, at 3.2Ghz, with an unlocked 4th core, 8GB RAM and a 896MB Nvidia GTX 275, and it runs at ultra settings. In raids I am getting between 35 and 50 fps, solo always hanging at 60fps with v-sync on. So parts a few years old can keep up, at least with WoW.
Don't even begin to bother with liquid cooling. Its really a waste of money unless you plan on over clocking your machine to its extreme limits...and then for what? To squeeze a few more fps out of WoW? Plus, unless you stay on top of it, there is maintenance involved with liquid cooling, where you can just get a nice $30-$40 copper cpu cooler and still be able to moderately over clock and keep your CPU cool.

I have a Phenom II X2 550 BE that I pushed from 3.1 to 3.9 with a total of four 12cm case fans and a CoolerMaster Hyper212+ CPU cooler (with 2 attached 12cm fans for a push/pull config). I know there are better coolers, but you can't find one for less than twice the cost. It's a monster though, so make sure there's plenty of room for it in your case.

I agree, the Hyper 212+ is probably the best in the $30-$40 price range, and performs better then a lot that are much more expensive. Its huge though, it looks big on the website, but it really is a beast when you get it in person. It should fit most modern mid-tower cases as long as its not one of those cheap, paperthin sheetmetal cases you can get for $15.
