Unless your brother is your legal guardian or you are his legal guardian, he is not allowed on your account. The account holder may only share the account with 1 minor whom they are the legal guardian of. Sharing it with anyone else is considered account sharing and could lead to account penalties.
You only need to have 1 character that is level 55 or higher in order to create a Death Knight. They will not replace any of your current characters. You're only allowed to have 1 death knight per realm, and you cannot make a Death Knight of the opposite faction if you are on a PvP or RP-PvP realm.

Just make a DK for yourself and don't tell anyone that you actualy share an account with your brother (same goes for him).
It is 1 DK per realm policy, and DK can be created on other realms (meaning the realms with no 55s on it), and I haven't heard of rule "more 55s than DKs" so I guess it is ok to have 2 DKs (on different realms) with only 1 level 55.

I have never heard of Blizzard penalizing someone for breaching that rule when the account is shared within the same household. I think the rule exists more for the purpose of absolving Blizzard of any perceived responsibility when someone's little brother crashes their account.
