Sheath basically gives you ability to get stronger instant FoLs and Exo's from Art of War. Also as you said it makes your consecration better, while now it might be 7 point, later it might become a difference of few hundreds.

This is a necessary talent for when you're LFDing for your two frost emblems and you get a group full of 1.3k dpsers as a healer. Switch to ret, and burn AoW procs on FoLing the tank while still topping Recount.
Spell coefficients
It looks like Exo, Cons, and judgments all have spellpower coefficients. Actually JoV has a higher SP coefficient than AP. Wasn't expecting that.
On top of that, you never know when things will start going bad and you'll have to throw a few heals around. A HoT and more spellpower all help with that (not to mention how nice it is to have 60% of a LoH crit turn into a HoT).
Also, you lose absolutely no DPS by tossing SS onto the tank while running in or just before running in. That's on a spellpower coefficient.
Edit: I wasn't clear about this, but the formulas on the Wowwiki page suggest that you get a small amount of your spellpower and attack power on attacks with a spellpower coefficient. So regardless of any imbalance between AP and SP, SP will improve your DPS. It's not like it gets overshadowed and the coefficient is ignored.

Yes it will grow with you, at 80 & decent gear I have 4000 attack power, which this talent turns into 1200 spell power. That will give several attacks a couple hundred extra damage each.

However, this skill seems to only get activated every now and then when I heal then when it's active... the heal over time seems to be faint and not worth it as i have the instant cast heal, also the spell damage seems miniscual (sp)... my AoE does like 80 points and with Sheath it does 87... i guess one could argue that 10% is decent... but i just don't feel it... not when it seems to barely ever get triggered.
I think you might be a bit confused about the spell being activated.
What you are seeing as 'activated' is just a Heal over Time- whenever you score a critical strike with a heal, it heals that amount to you again, as a bonus, over the next (12?) seconds.
The extra spellpower is something you get constantly.
If you have a second critical strike with a spell before the first Heal over Time runs out, it will just 'add on' to the heal, and re-start the timer.
Your heals may be small now, but there are times when this spell will let you do larger heals as Ret than as Holy, due to the increased spellpower. And as the heals get larger, so will the heal over time portions.
