i'd swap it out in a second if the embrace of the spider dropped but it hasn't yet and 98 spellpower is 98 spellpower.
as far as the proc goes in trash fights it usually procs when i LT after the fight's finished but i've had it proc several times during a single boss fight. the proc rate is very good and the fel armour proc works very well with the 4pc t7 because you LT a lot putting you just below max health a high proportion of the time.

well, i got it because i'm affliction and just don't need all that crit. according to the latest maths i've seen crit is worth about a third of SP, point for point. however, other lock builds really can use that crit.
as i said, the proc from the egg is only really seen in boss fights or if things go a bit wrong but it procs often enough in boss fights for me to be happy with it. it's not as good as the proc on the forge ember though. it's more like a nice addition rather than something you should take into account as a plus for the egg.
basically i'd suggest getting the egg for the SP only and any other benefit is just a bonus. if you wouldn't swap the forge ember for the egg if it had no proc then don't do it.
